Striking Off / Closure of Company
Companies that have ceased to carry on any business or have not commenced business within 1 year of incorporation, have no assets/liabilities, and wish to strike off their name from the ROC register. Unanimous consent of all directors required. All pending filings must be cleared first.
Before applying for strike off: (a) close all bank accounts; (b) clear all liabilities; (c) file all pending annual returns and financial statements with the ROC; (d) obtain NOC from all regulatory authorities (Tax, GST, etc.); (e) get all directors' consent. Unanimous Board Resolution is required. Form STK-2 must be signed by the majority of directors.
