Employee Stock Option Plan (ESOP)
All companies (other than listed companies which must comply with SEBI ESOP guidelines). ESOP requires a Special Resolution by shareholders. Shares reserved for ESOP cannot exceed 5% of paid-up share capital (for private companies; 10% for others).
ESOP scheme requires a Special Resolution by shareholders. If ESOP is to be offered to directors or key managerial personnel, a separate Special Resolution is required. Form MGT-14 must be filed within 30 days.
