All companies. Shifting the registered office from one state to another requires amendment of the Memorandum of Association, a Special Resolution by shareholders, and confirmation from the NCLT (Regional Director). This is a multi-month NCLT-supervised process.
Shifting to a different state requires: (1) Special Resolution by shareholders; (2) NCLT/Regional Director confirmation via Form INC-23; (3) amendment of Memorandum of Association; (4) ROC filings in both old and new state. This is a multi-month process.
