Calls on Shares
All companies with partly paid-up shares. The Board may, by resolution, make calls on shareholders in respect of money unpaid on their shares. Minimum 14 days' notice to be given.
Shares move fast in a growing company. Compliance shouldn't be what slows it down. The law stays quiet on this one; good practice doesn't. In real terms: no statutory threshold applies — confirm call amount/timing is consistent with the Articles of Association. This is exactly the kind of resolution Fi CTC Generator was built to make effortless.
Call notice must be sent to shareholders at least 14 days before the payment date. The call must not exceed the amount unpaid on each share. Interest may be charged on overdue calls at a rate specified in the Articles.
