Appointment of Manager
All companies (other than private companies). A Manager is a Key Managerial Personnel appointed under Section 203 in cases where no MD/WTD is appointed.
Adding or removing a director should take minutes, not weeks of legal back-and-forth. Section 196 governs exactly how this plays out. Concretely: company cannot have both a Manager and a Managing Director simultaneously (Sec 196(1)). No templates, no guesswork — Fi CTC Generator drafts this correctly in about 3 minutes.
Form MR-1 must be filed with ROC within 60 days of appointment. Shareholder approval required at the next General Meeting.
